These terms cover this website and the apps Valid Ventures LLC publishes, including Vigil. Apps are licensed for your personal use. Purchases, where they exist, go through Apple. Our apps are a daily practice, not medical advice and not a crisis service. Wyoming law applies.
01Who we are
Valid Ventures LLC (“Valid Ventures”, “we”, “us”) is a limited liability company organised under the laws of the State of Wyoming, with its registered address at 30 N Gould St, Ste R, Sheridan, WY 82801, United States. These Terms of Service (the “Terms”) govern your use of the website at validventures.co (the “Site”) and of the software applications we publish (each an “App”, together the “Apps”), including Vigil.
02Acceptance
By using the Site or installing or using an App, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site or the Apps. You must be at least 13 years old to use the Apps; if you are under the age of majority where you live, a parent or guardian must agree to these Terms on your behalf.
03The Apps and your licence
The Apps are licensed to you, not sold. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to install and use each App on Apple-branded devices that you own or control, for your own personal, non-commercial use.
Apps downloaded from the Apple App Store are also subject to Apple’s Media Services Terms and Conditions and the Licensed Application End User License Agreement. Where those documents and these Terms address the same subject, Apple’s terms govern your relationship with Apple and these Terms govern your relationship with us. Apple has no obligation to provide maintenance or support for the Apps and is not responsible for addressing any claims relating to them.
04Your data lives on your device
Our Apps do not require an account. What an App records about your use of it is stored on your device. If you delete an App, or erase your device, that data is gone and we cannot recover it for you, because we never had it. Your device’s own backup settings may include App data; those backups are governed by Apple’s terms, not ours.
05Purchases and subscriptions
Where an App offers a paid subscription or other purchase, the purchase is made through Apple’s in-app purchase system. Prices, billing periods, renewal and any free trial are shown at the point of purchase. Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current period, and can be managed or cancelled in your Apple ID settings. Refunds are handled by Apple under its policies; we cannot issue them directly. Nothing that can be purchased in an App changes the progress a person has earned in it.
06Acceptable use
You agree not to: copy, modify, distribute, sell or lease any part of the Site or the Apps; reverse engineer or attempt to extract the source code of an App except to the extent applicable law expressly permits; circumvent any technical measure in an App; use the Site or the Apps for any unlawful purpose; or interfere with their operation or with anyone else’s use of them.
07Not advice, and not a crisis service
Some of our Apps concern personal habits, daily practice and self-improvement. They are offered for general informational and motivational purposes only. They are not medical, psychological, psychiatric, legal or financial advice, do not diagnose or treat any condition, and are not a substitute for care from a qualified professional. Any text an App presents in the voice of a character is fiction, written in advance, and should be read as such.
Our Apps are not a crisis service. If you are in immediate danger, contact your local emergency number. In the United States you can call or text 988 to reach the Suicide and Crisis Lifeline, or text HOME to 741741 to reach the Crisis Text Line.
08Intellectual property
The Site and the Apps, including their software, design, text, artwork, characters, names and marks, are owned by Valid Ventures LLC or its licensors and are protected by copyright, trademark and other laws. “Valid Ventures” and “Vigil” are names and marks of Valid Ventures LLC. Nothing in these Terms transfers any ownership to you. Feedback you send us may be used by us without obligation to you.
09Changes to the Apps and to these Terms
We may change, suspend or discontinue any part of the Site or an App at any time. We may also update these Terms; when we do, we will post the new version here with a new effective date, and material changes to an App’s terms will be presented in the App or on the App Store listing. Continued use after a change means you accept it.
10Disclaimer of warranties
The Site and the Apps are provided “as is” and “as available”, without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site or an App will be uninterrupted, error-free or secure, or that any outcome will follow from using them. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you.
11Limitation of liability
To the fullest extent permitted by law, Valid Ventures LLC and its members, managers and contractors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits or goodwill, arising out of or relating to the Site or the Apps, however caused and under any theory of liability. Our total liability for all claims relating to the Site or an App will not exceed the greater of the amount you paid us for that App in the twelve months before the claim arose or fifty US dollars (US$50). Some jurisdictions do not allow these limitations, so some of the above may not apply to you.
12Indemnity
You agree to indemnify and hold harmless Valid Ventures LLC from any claim, loss or expense, including reasonable legal fees, arising from your breach of these Terms or your misuse of the Site or an App.
13Termination
You may stop using the Site or an App at any time; deleting an App ends your licence to it. We may suspend or terminate your access to the Site or an App if you breach these Terms. Sections 7 through 15 survive termination.
14Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws rules. Any dispute arising out of or relating to these Terms, the Site or the Apps will be brought exclusively in the state or federal courts located in Sheridan County, Wyoming, and you consent to their jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction. If any provision of these Terms is found unenforceable, the rest remain in effect. These Terms, together with the Privacy Policy, are the entire agreement between you and us about the Site and the Apps.
